1. Acceptance of these Terms
By accessing or using AllyOS (the "Platform"), you agree to be bound by these Terms of Service ("Terms"), which form a legally binding agreement between you and RenuviaMD® PLLC ("RenuviaMD," "we," "us," or "our"). If you do not agree, do not access or use the Platform. We may modify these Terms from time to time; continued use after a change constitutes acceptance, and you are responsible for reviewing them periodically.
2. Licensed-professional use only
The Platform is for licensed healthcare professionals only — physicians, nurse practitioners, physician assistants, pharmacists, and other clinicians acting within their licensed scope of practice. By registering, you represent and warrant that you are a licensed provider in good standing with your applicable board or licensing authority. AllyOS is a B2B clinical decision-support and practice-operations tool; it is not intended for, marketed to, or to be used by patients, consumers, or unlicensed individuals. We may suspend or terminate any account that we determine does not meet these requirements.
3. NPI verification — for gating access only
Your NPI is used for one purpose only: to verify that you are a licensed provider and unlock the Platform. We verify your National Provider Identifier against the federal NPPES registry solely to legitimize and gate access. We do not use your NPI for ordering, billing, payment, fulfillment, prescribing, marketing, or resale, and we do not share it with pharmacies or suppliers.
You agree to provide accurate, truthful NPI and licensure information. Providing false, incomplete, or fraudulent information is a material breach of these Terms and may result in immediate termination. NPI verification is a condition of continued access; we may re-verify at any time and may suspend access pending re-verification. You must notify us promptly if your licensure status changes.
4. Educational decision-support — not medical or legal advice
AllyOS provides educational reference material, software tools, and an AI assistant ("Ally") for licensed providers. The Platform does not constitute medical advice, legal advice, prescribing authorization, diagnosis, treatment, or a standard of care. Nothing here directs you to prescribe, administer, or supply any product. You must exercise independent clinical judgment and consult current guidelines, prescribing information, and applicable regulations before any clinical use.
5. No medical-director or treatment relationship
Use of AllyOS, including any content curated by Armando A. Falcon, MD, does not create a medical-director, supervisory, collaborative, physician-patient, or any clinical relationship with RenuviaMD® or Dr. Falcon. Dr. Falcon does not supervise your practice, your providers, or your patients through this Platform. All clinical decisions remain the sole responsibility of the licensed practitioner who makes them, who assumes full clinical and legal responsibility for the care of their own patients.
6. AI assistant (Ally)
Ally is an AI decision-support tool. Its responses may be incomplete, outdated, or in error, and must be independently verified against primary sources before any clinical use. Ally is designed to be honest about evidence quality and to flag items for verification; it is not a substitute for professional judgment. Ally operates at the protocol/reference level only and is provided only de-identified questions — never patient-identifiable information. RenuviaMD disclaims any liability arising from clinical decisions made in reliance on AI-generated content.
7. Regulatory status & evidence quality
Peptides and compounds referenced are not FDA-approved drugs unless otherwise noted. Evidence quality varies and is graded A–D; some referenced compounds have limited or no human evidence. Regulatory status changes (e.g., FDA compounding categories, PCAC review). You are responsible for confirming current status before any clinical use.
8. We do not sell, distribute, or source drugs — and there is no ordering on this Platform
AllyOS does not sell, supply, compound, broker, source, fulfill, or distribute peptides or any drug, and the Platform contains no wholesale-ordering, sourcing, or pharmacy-procurement function. We provide reference material, software, and professional services only — we monetize the software, never the molecule. We do not connect you to pharmacies or earn any margin on any product. Any procurement you undertake occurs entirely outside AllyOS, solely between you and a third party of your choosing, and is your responsibility.
9. Intellectual property & license
All Platform content — clinical references, protocols, dosing material, documentation templates, educational material, software, and design — is the proprietary property of RenuviaMD® or its licensors, protected by copyright, trademark, and trade-secret law. You are granted a limited, non-exclusive, non-transferable license to access and use the content solely for your own internal clinical and practice-management purposes. You may generate and print patient handouts and chart documents from the tools for use in your own practice. You may not otherwise reproduce, redistribute, modify, create derivative works from, publicly display, or commercially exploit Platform content without our prior written consent.
10. Prohibited uses
You agree not to:
- Share login credentials with unlicensed individuals or anyone outside your registered organization;
- Reproduce or redistribute clinical content, protocols, or templates without authorization;
- Use bots, scrapers, or crawlers to access or extract Platform data;
- Circumvent any access control, security measure, or tier restriction;
- Use the Platform for any unlawful purpose or in violation of any applicable regulation;
- Interfere with or disrupt the integrity or performance of the Platform.
11. Privacy & PHI
AllyOS collects no protected health information (PHI). Point-of-care tools (the Visit Packet) run on the provider's device; any patient data entered stays on that device, is held only for the active session, and is never transmitted to or stored by AllyOS. Accordingly, AllyOS is not a HIPAA business associate, and no Business Associate Agreement is required or offered. Your use is also governed by our Privacy Policy, incorporated here by reference.
12. Compliance is the provider's responsibility
Any clinical use must comply with all applicable federal and state laws, medical-board regulations, pharmacy regulations, DEA requirements, and scope-of-practice rules in your jurisdiction. You are solely responsible for licensure, informed consent, documentation, and lawful practice.
13. No warranty; limitation of liability
The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including that it will be uninterrupted or error-free. To the maximum extent permitted by law, RenuviaMD® and its officers, employees, agents, and licensors are not liable for any indirect, incidental, special, consequential, or punitive damages, nor for any clinical, financial, regulatory, or other outcome arising from use of the Platform or reliance on its content or AI output.
14. Governing law
These Terms are governed by and construed under the laws of the State of Florida, without regard to its conflict-of-law provisions. [confirm venue/jurisdiction with counsel]
15. Changes to these Terms
We may update these Terms at any time. We will note material changes by updating the "last updated" date above and, where appropriate, by email to registered users. Continued use after the effective date constitutes acceptance.
